A. Terms & Conditions for Usageof JP Remit

(With JP Remit membership registration)

Theterms & conditions for usage of JP Remit (with JP Remit membershipregistration) (hereinafter referred to as “T&C”) comes in effect sinceMarch 31, 2012. Foreign moneytransfer transactions carried out through JP Remit shall be handled incompliance with the T&C. Unlessthe T&C are agreed, JP Remit shall not be utilized. In the meantime, the T&C areregarded to be agreed, once JP Remit is used.

Throughoutthe T&C, the words of “Our Company” or “We” mean Japan Remit Finance Co.,Ltd. (hereinafter referred to as “JRF”), or its management and employees.“Customers” or “Customer” is defined as those who request us to transfer moneyand/or receive money transferred through JP Remit.

1. Scopeof Service

JRFelectronically transfers funds in cash to the designated countries world-wide.

“User”is defined as a user of JP Remit and “Beneficiary” means a recipient to receivemoney through JP Remit.

“Countryof Destination” is a country where a Beneficiary receives money transferredthrough JP Remit.

“Transaction” is the detailed moneytransfer instructions stipulated by the User, and “Transaction Amount” is theamount of money prescribed by the User to be transferred to the Beneficiary,which is net of any applicable service fee charged by JRF, and before anyconversion into any other currency. In accordance with the Act on Settlement (2009; Law No. 59), theTransaction Amount shall not exceed any amount greater than JPY 1,000,000 (onemillion Japanese Yen) per one money transfer request.

“Payout Amount” is the net of taxamount which a beneficiary receives in accordance with regulations 　 ina Country of Destination.

2. Useof JP Remit

a. Qualificationof Users: A Customer is requested to have an age over 18 years old, and to forma legally binding contract in the applicable laws. Some other restriction maybe from time to time applicable.

b. JPRemit is a service only for those residing in Japan.

3. CustomerIdentification

a. Inaccordance with Law for Prevention of Transfer of Criminal Proceeds (2007; LawNo. 22), and Foreign Exchange and Foreign Trade Act (1949; Law No. 228), JPRemit shall not be used until a customer identification process is dulycompleted.

b. JRFshall screen each Transaction before being processed, as to whether it fallsunder any kind of payments stipulated in accordance with Article 17 of ForeignExchange and Foreign Trade Act. JPRemit shall not be used if it eventually falls under Article 17. Further, JRF shall not accept anyTransaction related to Payment Restrictions on Trade and/or Restrictions on Useof Funds applied to North Korea and related to Restrictions on Use of Fundsapplied to Iran.

4. Requestfor Money Transfer

a. Inrespect of acceptance of the money transfer, the User shall pay a service fee(hereinafter referred to as “Service Fee”) prescribed by us with the TransactionAmount. JRF accepts Japanese Yen only for the payments by the User. The ServiceFee prescribed by JRF is below described.

① TransactionFee: Please contact JRF to ask for this fee rate.

② Cancellationand Refund Fee (In such cases as where JRF is not able to transfer moneybecause of any defectiveness in the User’s application): In principle, nocancellation and refund fee are additionally charged, but we have a policy notto return the Transaction Fee, once paid. JRF shall refund the Transaction Amountto the designated bank account of the user in Japan with its bank remittancecharge on JRF.

b. TheUser shall pay both the Transaction Amount and the Service Fee to thedesignated Japanese Yen account of JRF at the bank in Japan with its bankremittance charge on the User.

c. JRFhandles various currencies – Japanese Yen, US Dollar, and other applicablelocal currencies.

d. ForeignExchange

Transfermoney will normally be paid in the currency of the Country of Destination. The exchange rate applied shall be therate set by JRF on the basis of various market rates combined. In addition, in cases where the marketexchange rate fluctuation is unstable, the applicable rate may be differenteven in a single day. Please contact JRF to ask for the applicable foreignexchange rate.

5. Payoutto Beneficiary

a. JRFshall transfer money from our domestic Japanese Yen account to an account ofthe Beneficiary in Bangladesh. Moreover, we shall also handle a cash payout to be picked up by theBeneficiary at the designated locations

b. Regularperiod of money reaching the account of the Beneficiary or for a pick-up by theBeneficiary is one business day, subject to hours of operations of the paymentlocations.

6. RestrictionClause

a. Summary:At the sole discretion of JRF, we may restrict the scope of JP Remit on atransactional basis or as a whole. Further, JRF retains a right to modify orsuspend our JP Remit service with a prior notice or in some cases without anynotice.

b. Delay:Our collation of Customer’s identification, our verification of the Transactionand our strict compliance rule implementation may cause a delay or acancellation in transferring money. Those may also affect the hours ofoperation and/or the currencies that the Users would normally select. At anyrate, the Users shall get refunded under a certain circumstance, subject to theT&C.

c. IllicitTransaction: The User shall not use JP Remit if such laws and regulations(including the T&C) prohibit him or her from transferring money asmoney-laundering, sexual related goods and services, illegal gambling, money transferfor a fraud and terrorism purpose.

d. Cuttingoff Anti-social Forces: When a User is regarded inappropriate to receive JPRemit service, JRF shall terminate JP Remit service with our notice to theUser, who is found to be involved or related to those below itemized.

① Ina case where JRF realizes that any information provided at the time ofapplication is found false

② Ina case where JRF comes to know the User being;

A. a gang or bouryoku-dan;

B. a member or associate of gang or bouryoku-dan group;

C. a company related to gang or bouryoku-dan group;

D. a corporate racketeer, or acyber-terrorist;

E. other similar member or group suchas;

i. controlled by a gang or bouryoku-dan;

ii. substantially controlled by a gangor

bouryoku-dan ;

iii. exploiting a use of a gang or bouryoku-dan to seek an undue economic interest;

iv. funding a gang or bouryoku-dan; and

v. maintaining a socially criticizedrelationship with a gang or bouryoku-dan

③ Ina case where the User conducts those below described;

A. undue demands resorting to aviolence;

B. illegally undue demands;

C. threating or violent activities;

D. any activities damaging orobstructing JRF by using a power to spread rumors, using fraudulent means; and

E. other similar activities in thepreceding

e. Ineligibility:At our sole discretion, we may reject any transaction with certain individualor company as a result of our screening the lists of names provided by theJapan Financial Intelligence center, the US Treasury DepartmentsOffice of Foreign Assets Control (“OFAC”), the European Council, andothers.

f. Others: The User is not allowed toenjoy JP Remit service if the User strives to transfer money on behalf ofothers. If such is the case, theUser shall notify JRF that money transfer is to be done on behalf others or forsome specific business or group. We shall require the User to provideadditional identification and/or information on the specific business or group.

g. Accuracy: When transactional information issubmitted to JRF, the User is requested to ensure such information is accurateat his or her own risk.

h. Restrictive Deed: The User shallnot conduct the following deeds in connection with JP Remit service, and ourcommunication with the User, and any third party on behalf of the User.

i. violating the T&C or any othercontract engaged between other users and JRF

ii. providing false, incorrect, andmisleading information

iii. rejecting cooperation forinvestigation, and JRF’s confirmation on customer identification or informationalready provided by the User

iv. Using anonymous delegates.

7. PersonalInformation Protection

a. JRFcollects and uses personal data of the User (“Your Information), which the Userprovides on the application together with other information collected orgenerated during the course of your relationship with JRF, such as transactionand loyalty programs details, your marketing preferences, and others.

b. PersonalInformation Protection Policy: By agreeing on the T&C when the applicationis submitted, the User is also deemed to acknowledge and agree on JRF’sPersonal Information Protection Policy, which is shown in our web site ( http://www.jpremit/com ).

c. Disclosureunder the Law: JRF may also disclose Your Information to third parties incompliance with applicable laws and/or when requested by the courts.

d. InformationAccess: The User acknowledges that JRF retains a right to, directly or througha third party, collate Your Information provided by the User, when reasonablynecessary for JRF’s operation. Suchcases are included that we directly or indirectly collate Your Information to seekadditional information, and to confirm the ownership of E-mail address orfinancial product property.

8. SignificantMatters Regarding Instructions and Information

JRF states the significant matters that should provide importantinstructions and information in the attachment.

9. Enquiries

Whenthe User enquires about the Transaction and/or money transfer, such enquiresshould be promptly lodged by contacting us.

Refund:Without our failure or misconduct to process money transfer, JRF shall not inprinciple refund. Nonetheless, in cases where the User wishes to requestrefunds, the refund request should be submitted in writing to on-line inquires,fax number, or postal mail address shown in the past paragraph of the T&C,attaching Your Information including your name, address, registered telephonenumber, the Transaction Amount, and the reason for refund request. Then, JRF may consider your refundrequest positively.

BeforeJRF decides to refund, our confirmation shall be required as to whether moneyalready reaches the account of the Beneficiary or it is already paid out to theBeneficiary at the designated locations. Upon our confirmation, we shall refundthe Transaction Amount only to the bank account of the User JRF provided thatJRF simultaneously cancels any other pending money transfer prescribed by thesame User. In refunding, we shallnot make up any loss or cost incurred due to a change in the foreign exchangerate.

10. IntellectualProperty Right

TheUser acknowledges that the service and product name of JP Remit, trademark,service mark, logos, etc. are all owned by JRF (hereinafter referred to as“JRF’s Intellectual Property Right. In addition, the User agrees not todisplay, use, copy or modify JRF’s intellectualProperty Right. The User will notinfringe any intellectual property right, privacy or other rights of portrait,trade secrets, copy right, and others of JRF or any third party.

11. Disclaimerof Warranty

JPRemit has been on an as-is basis provided without any guarantee, conditions,representation, and implication. Nolaw requests JRF to provide such. JRF, our subsidiary, our employees and our suppliers shall not provideany implied warranty about the relevance of ownership and product for aspecific purpose or non-infringement.

12. LossCompensation

TheUser acknowledges that any loss caused by i) aviolation of the T&C, ii) any improper use of JP Remit and iii) aninfringement upon the rights of others will be compensated by the User. Such compensation should include anyreasonable scale of attorney’s fee, and any claims and demands by others. Inaddition, the User agrees not to damage JRF, our subsidiary, ouremployees/management, and our agent or partner in any manner.

13. Limitationof Liability

Exceptfor claims resulting from a transaction in Japan, JRF, our subsidiary, ouremployees/ management, and our agent or partner shall be held harmless of anyliquidated damage whatsoever for lost profits or not liable for any punitive orincidental liquidated damages directly or indirectly attributed by JRF, oursubsidiary, our employees/management, and our agent or partner to losses of anyintangible assets including goodwill, trade right, data and so on, in any case,even if JRF has been notified of the possibilities of the damages.

14. Resolutionsof Complaints and Conflicts, and Governing Law

a. GoverningLaw: The User shall be governed in accordance with the law of Japan. All theactions or inactions relating to JP Remit deemed to have been taken inJapan. Any claims, disputes,controversies, and conflicts (hereinafter referred as to “Claims”) shall betreated in accordance with the law of Japan, except for a case where the Codeis to regulate the conflicts of laws.

b. Conflictswith JRF: If any conflicts were to arise between the User and JRF, what we aimat would be to learn and respond to the concerns of the User. Nonetheless, in case where it isasserted that JP Remit does not meet the demands or expectation of the User,JRF shall offer efficient and neutral means to resolute the conflictsswiftly. The User may report theconflicts to JRF’s customer service as below described via on-line inquiries orpostal mail.

d. ApplicableLaw: The T&C shall be governed and construed in accordance with the laws,ordinances and customs of Japan.

e. ExclusiveJurisdiction: A lawsuit concerning the Transaction between the User and JRFshall be handled with Tokyo District Court as the agreed exclusive court in thefirst hearing.

15. SupplementaryProvisions

a. EntireAgreement: The T&C constitute the entire agreement between the User andJRF. The T&C supersede and extinguish all prior agreements between theparties.

b. No Waiver: Even if the User determines not to exercise his or herright as per the T&C, JRF shall not waive its rights thereof. Even when some of provisions of the T&C have been determined invalid by thecourt of competent jurisdiction or an arbitrator, both the User and JRF shallnonetheless make an effort to enable the T&C to become valid on the basisof the original intent thereof. Inaddition, the User acknowledges that the T&C and other relevant provisionsshall survive and remain in effect.

c. Changesto the T&C: The Company may from time to time change the T&C, unlessotherwise required by laws, without any notice to the User. The User has an invariable access toinformation about the amended parts in the T&C. The User, who does notagree with those changes, may terminate JP Remit. In the meantime, the User, who continuesto use JP Remit after the amended parts come in effect, deemed to accept thechanges in the T&C. The Useracknowledges his or her attempt not to accept changes or to request for anamendment in the T&C shall become invalid.

d. Language:In the event that the content of translations into other languages of theJapanese version of these and successive regulations are found to deviate fromsaid Japanese version, the Japanese version shall be taken as correct.

e. Ifthe User alters specific information already provided for JRF (for instance, achange in his or her address, name, and/or others in the case of an individualUser; a change in the name of the company and/or in the address of the headoffice or principal office in the case of a corporate User), the User is kindlyrequested to provide amended information without any delay.

16. Security

The security of the User is very important to JRF. We arecommitted to ensure that Your Information is safe, while using the securitymeasures. JP Remit is a safe and convenient way of money transfer. For anyremittance to those who the User does not know well, we encourage the User toponder before any remittance. Inparticular, for a transaction and an offer too good to be true, utmostvigilance shall be required. If youbecame a target of fraud or if you think there is such a possibility, pleasecontact us. Significant Matters Regarding Instructions and Information

1. NotForeign Exchange Transactions Carried out by Banks

ü JPRemit is not foreign exchange transactions carried out by banks

ü JPRemit does not accept deposit, savings and time deposits.

ü JPRemit is not subject to the payment of insurance stipulated in Article 53 ofthe Deposit Insurance Law (1971: Law No. 34), and in Article 55 of Agricultureand Fishery Cooperation Insurance Act (1973: Law No. 53).

ü JRFhas entered into the bank guarantee agreement with Sumitomo Mitsui BankingCorporation, in accordance with Article 44 of the Act on Settlement (2009: LawNo. 59).

ü Forcustomers who use JP Remit,thefunds are protected by the bank guarantee based on the Act on settlement law,and they have right to refund the funds in accordance with Article 59 thereof.

2. Other Significant Matters

ü Theuser is encouraged to carefully read the Terms and Conditions for Usage of JPRemit.

ü Thetransaction amount shall not exceed any amount greater than JPY 1,000,000 (onemillion Japanese Yen) per one money transfer request.

ü Regular period of money reachingthe account of the beneficiary or for a pick-up by the beneficiary is onebusiness day, subject to hours of operations of the payment locations. 　 Incase of India as a destination, it will be three business days.

b. JRFshall screen each Transaction before being processed, as to whether it fallsunder any kind of payments stipulated in accordance with Article 17 of ForeignExchange and Foreign Trade Act. JPRemit shall not be used if then eventually falls under the Article. Further, JRF shall not accept anyTransaction related to Payment Restrictions on Trade and/or Restrictions on Useof Funds applied to North Korea and related to Restrictions on Use of Fundsapplied to Iran.

Ineligibility:At our sole discretion, we may reject the Transaction with certain individualor company as a result of our screening the lists of names provided by theJapan Financial Intelligence center, the US Treasury DepartmentsOffice of Foreign Assets Control (“OFAC”), the European Council, andothers.

g. Accuracy: When transactional information issubmitted to JRF, the User is requested to ensure such information is accurateat his or her own risk.

h. Restrictive Deed: The User shallnot conduct the following deeds in connection with JP Remit service, and ourcommunication with the User, and any third party on behalf of the User.

① violatingthe T&C or any other contract engaged between other Users and JRF

② providingfalse, incorrect, and misleading information

③ rejectingcooperation for investigation, and JRF’s confirmation on customeridentification or information already provided by the User

④ usingan anonymous delegates

7. PersonalInformation Protection

c. Disclosureunder the Law: JRF may also disclose Your Information to third parties incompliance with applicable laws and/or when requested by the courts.

d. InformationAccess: The User acknowledges that JRF retains a right to, directly or througha third party, collate Your Information provided by the User, when reasonablynecessary for JRF’s operation. Suchcases are included that we directly or indirectly collate Your Information toseek for additional information, and to confirm the ownership of E-mail addressor financial product property.

BeforeJRF decides to refund, our confirmation shall be required as to whether moneyalready reaches the account of the Beneficiary or it is already paid out to theBeneficiary at the designated locations. Upon our confirmation, we shall refund the Transaction Amount only to becollected by the User at JRF’s office, provided that JRF simultaneously cancelsany other pending money transfer prescribed by the same User. In refunding, we shall not make up anyloss or cost incurred due to a change in the foreign exchange rate.

TheUser acknowledges that any loss caused by i) aviolation of the T&C, ii) any improper use of JP Remit and iii) aninfringement upon the rights of others will be compensated by the User. Such compensation should include anyreasonable scale of attorney’s fee, and any claims and demands by others. Inaddition, the User agrees not to damage JRF, our subsidiary, our employees/management,and our agent or partner in any manner.

13. Limitationof Liability

Exceptfor claims resulting from a transaction in Japan, JRF, our subsidiary, ouremployees/ management, and our agent or partner shall

beheld harmless of any liquidated damage whatsoever for lost profits or notliable for any punitive or incidental liquidated damages directly or indirectlyattributed by JRF, our subsidiary, our employees/management, and our agent orpartner to losses of any intangible assets including goodwill, trade right,data and so on, in any case, even if JRF has been notified of the possibilitiesof the damages.

14. Resolutionsof Complaints and Conflicts, and Governing Law

a. Governing Law: The User shall begoverned in accordance with the law of Japan. All the actions or inactionsrelating to JP Remit deemed to have been taken in Japan. Any claims, disputes, controversies, andconflicts (hereinafter referred as to “Claims”) shall be treated in accordancewith the law of Japan, except for a case where the Code is to regulate theconflicts of laws.

b. Conflicts with JRF: If anyconflicts were to arise between the User and JRF, what we aim at would be tolearn and respond to the concerns of the User. Nonetheless, in case where it isasserted that JP Remit does not meet the demands or expectation of the User,JRF shall offer efficient and neutral means to resolute the conflicts swiftly. The User may report the conflicts toJRF’s customer service as below described via on-line inquiries or postal mail.

JRFmay appoint an outsourcing contractor to properly and effectively implement ourpayment service, and such a contractor would have an access to Your Informationthe Company obtains. For thisreason, JRF will carefully select the outsourcing contractor from the viewpoint of Your Information protection. Further, the Company will contractually bind the outsourcing contractorto safeguard Your Information under our proper and assured supervision.

7. Disclosure,Amendment and Deletion of Your Information

Inthe case that you request any disclosure, amendment, and/or deletion of YourInformation obtained by the Company from, JRF will take appropriate actions inaccordance with all applicable laws including Personal Information ProtectionAct, and any standards and rules which the government of Japan issues. 本利用規約は、2012-3-31 から有効となり、 JP レミット（以下、「本サービス」という）へのお客様のアクセスおよびご利用における条件を規定するものです。本利用規約に束縛されることに同意されない場合は、本サービスをご利用なさらないでください。本サービスをご利用になると、本利用規約に同意したものとみなされます。

本利用規約を通じ使われる「当社は」、「当社を（に）」、および「当社の」などの用語は、株式会社ジャパンレミットファイナンスおよびその役職員を指すものです。「お客様」および「お客様の」などの用語は、送金依頼人、受取人のいずれであるかにかかわらず本サービスのお客様を指すものです。

1. 本サービスの概要

本サービスをご利用いただくと、世界中に送金したり、送金を受け取ったりすることができます。

「送金依頼人」 は、送金のために本サービスを利用する人のことを指し、「受取人」は、本サービスを通してお金を受け取る人のことを指します。

「仕向国」 は、受取人が本サービスを通しお金を受け取る国を指します。

「取引」 とは、本サービスを通して行う送金に関する詳細な指示のことです。また、「取引金額」は、適用される手数料を除く外国為替換算前の送金依頼人が受取人に送金するために供する金額のことです。「資金決済に関する法律」（平成 21 年法律第59号）に基づき、本サービスの「取引金額」は100万円相当額以下に限定されております。

「支払金額」 は、仕向国の法律に基づき課される税金等を除き受取人に支払われる金額のことです。

2. 本サービスを利用する

a. お客様資格送金依頼人として本サービスに利用するには、少なくとも 18 才以上でなければなりません。また、適用法に基づき法的に拘束力のある契約を成すことができる必要があります。その他制限が適用される場合があります。

b. 本サービスは日本に居住するお客様のみ対象とします。

3. 本人確認

a. 「犯罪による収益の移転防止に関する法律」（平成 19 年法律第22 号）及び「外国為替及び外国取引に関する法律」（昭和 24 年法律第228 号）に基づき、当社がお客様の本人確認を終了しない限り、お客様は本サービスを利用することができません。

b. 当社は、お客様の支払等が「外国為替及び外国貿易法」第 17 条に定める支払等に該当するか否かを事前に確認いたします。その結果、「外国為替及び外国貿易法」第17 条に定める支払等に該当する場合は、お客様に本サービスを提供いたしません。また、北朝鮮の「貿易に関する支払規則」及び核開発等に関連する「資金使途規制」ならびにイランの核開発等及び大型通常兵器に関連する「資金使途規制」に該当する場合には、お客様に本サービスを提供いたしません。

4. 当社への送金資金のご依頼

a. 送金手数料 　お客様が提示された各取引について、お客さまにはサービス料（以下、「サービス料」）と取引金額を当社にお支払いただくことに同意していただきます。支払はお客様が取引を提示された時点で当然支払うべきものとなります。当社は、日本円でのお支払のみお受けします。手数料（消費税、業務委託先手数料含む）は以下のとおり。

① 送金手数料　 0円から10,000円

② 資金の組戻し（送金時に振込先等の不備により送金が行えなかった場合）：返金に掛かる手数料は特にございませんが、お支払いただいた送金手数料はお返しいたしかねます。返金はお客様の国内銀行口座にお振込みしますが、振込手数料は当社の負担といたします。

③ 消費税の改定、金融機関の手数料の値上がり及び諸経費の値上がり等相当の理由があると当社が判断したときは、当社は手数料の改定を行うことができるものとします。

c. 取扱通貨　当社の取扱う通貨は別表対象国の通貨もしくは米国ドル（USD ）です。

d. 為替レートの決定方法

① 円から USDへの為替レートの場合：

みずほ銀行の定めるレート（TTS）から、最大2.5％上乗せした為替レートを算出する。

② 円から USD以外当社取扱通貨への為替レートの場合：

みずほ銀行の定める円からUSDへの為替レート（TTS）とUSDから対象通貨顧客向け銀行為替レート（ TTC）のクロスレートから、最大3%上乗せした為替レートを算出する。

5. 受取人の受領

a. 当社は、日本からの送金の場合、当社の国内銀行口座から仕向国内の受取人の預金口座に資金に振り込みます。また、指定の銀行とその営業所での窓口払いも対応しております。

b. 送金のための資金受領から、受取人の預金口座に入金されるまで、もしくは窓口払い出しまでの期間を１営業日と見積もります。仕向国がインドの場合３営業日と見積もります（休日の場合は同期間が変更となる可能性がございます）。

6. 制限事項

a. 概要　当社は、いつでもまた当社独自の裁量により、取引ごとあるいは統合ベースで、取引を拒否あるいは送金額を制限することがあります。当社は、いつでも、また適時、通知をもってあるいは通知なくサービス（またはその一部）を修正または中止する権利を留保します。

b. 遅延　お客様の身分を照合、取引・支払指示を認証、お客様へのコンタクトおよび確認を行う、または適用法の遵守を行う過程で、お客様の取引は遅れるか、またはキャンセルされる場合があります。営業時間およびご利用いただける通貨も影響することがあります。いずれにせよ、ここに記載のとおり、お客様は一定の状況で払戻しを受けることができます。

c. 不正取引 　お客様は、本利用規約、または適用法、マネーローンダリング・一定の性的関連の物やサービス・非合法の賭博行為・詐欺・テロ組織への資金供給に関連した規則などの規則に違反して本サービスをご利用いただくことはできません。

d. 反社会的勢力の排除 　お客様が、次の各号の一にでも該当し、お客様との取引を継続することが不適切である場合には、当社は本サービスを停止し、またはお客様に通知することにより本サービスを解約することができるものとします。

① お客様が本サービスの申込時にした表明・確約に関して虚偽の申告をしたことが判明した場合

② お客様が、次のいずれかに該当したことが判明した場合

A．暴力団

B ．暴力団員（暴力団でなくなった日から５年を経過しない者を含む。）

C ．暴力団準構成員

D ．暴力団関係企業

E ．総会屋等、社会運動等標ぼうゴロまたは特殊知能暴力集団等

F ．暴力団等（上記AないしEに掲げる者をいう。以下同じ。）と以下のいずれかにでも該当する関係を有する者

i. 暴力団等が経営を支配していると認められる関係

ii. 暴力団等が経営に実質的に関与していると認められる関係

iii. 自己、自社若しくは第三者の不正な利益を図る目的又は第三者に損害を加える目的をもってするなど、不当に暴力団等を利用したと認められる関係

iv. 暴力団等に対して資金等を提供し、又は便宜を供与するなどの関与をしていると認められる関係

v. その他役員等又は経営に実質的に関与している者が、暴力団等と社会的に非難されるべき関係を有していると認められる関係

③ お客様が、自らまたは第三者を利用して次の各号に該当する行為をした場合

A. 暴力的な要求行為

B. 法的な責任を超えた不当な要求行為

C. 取引に関して、脅迫的な言動をし、または暴力を用いる行為

D. 風説を流布し、偽計を用いまたは威力を用いて当社の信用を毀損し、または当社の業務を妨害する行為

E. その他前各号に準ずる行為

e. 非適格性 　当社は独自の裁量で、外務省その他の政府機関が適時発行する特定重要国民リスト、非協力国およびテロリストのリスト、またその他のリストにある団体および個人を含む（ただしこれに限定されるものではない）一定の送金依頼人からの取引および一定の受取人への取引をお断りすることがあります。

f. その他 　お客様は、他人に代わって取引を送金あるいは送金の受け取りをすることはできません。お客様がある事業やその他の人間でない団体に代わって取引を送金しようとする場合、当社にその旨を通知しなければなりません。お客様は、追加的な情報を当社にご提供いただくことに同意していただくことになります。また、当社の求めに応じ、かかる団体について追加情報をご提供いただくことに同意していただきます。

g. 変更不可 　当社は通常、いったん処理のために当社に提示された取引の詳細をお客様が変更されることを認めておりません。取引の詳細が正確であることについてご確認いただく責任はお客様にあります。

h. 制限される行為 本サービスのご利用に関連して、または当社、お客様、または第3 者とのやりとりの過程で、お客様は以下の行為をしてはなりません：

① 本利用規約、あるいはその他お客様と当社の間で交わされた契約に対する違反、

② 偽り、不正確、誤解を与えるような情報を提供すること、

③ 調査への協力、または身分証明またはお客様が当社に提供していただいた情報の確認の提供を断ること、

④ 匿名の代理人をつかうこと、

7. 個人情報保護

a. 当社は、本サービスを提供する目的に加え、それに関連する目的（事務手続き、カスタマー・サービス、本人確認、商品開発等）で、送金申込書に記載されたお客様の個人情報その他の情報を取得し、利用します。

b. プライバシー・ポリシー　本利用規約に合意いただくことにより、お客様は当社の個人情報保護基本方針を承認、同意していただいていると見なされます。個人情報保護基本方針は、こちらでご覧いただけます： http://www.jpremit.com

c. 法令に基づく開示 　当社は、個人情報保護基本方針に記載の通り、お客様およびお客様の取引に関する情報を行政庁、裁判所等に提供することがあります。

d. 情報の照合 　お客様は、直接または第3者を通して、当社がお客様から提供していただいた情報を照合するために必要と考える問い合わせを行う権限を与えていただくことになります。これにはお客様に対し追加情報を求めること、お客様の E メールアドレスまたは金融商品の所有権を確認するための手段を講じていただくよう求めること、第 3 者のデータベース、またはその他情報源を通しお客様情報を照合することなどがあります。

8. 説明及び情報提供すべき事項

当社が、法令上、説明及び情報提供すべき事項は、別紙に記載するとおりです。

9. 問題

初めて当社とコンタクトされた後、お客様が当社の送金または為替取引に関し問題が解決していない場合は、以下まで直接苦情をお寄せください。

返金　通常、当社が何らかの間違いを起こした場合でない限り、返金は行っておりません。当社では、送金依頼人のフルネーム、住所、電話番号ならびに取引問い合わせ番号、取引金額、返金請求の理由などの情報を提供いただければ、お客様の書面による返金のご請求（本利用規約の最後にある連絡先をお使いいただき E メール、ファックス、または日本国内の郵便により送付されるもの）を検討させていただきます。

当社が返金を行う場合、受取人の口座に入金されていない場合、もしくは、指定の銀行またはその営業所で窓口払いが行われていないことを弊社が確認した場合のみに（かかる場合、お客様の保留中の取引があればキャンセルさせていただきます）、取引金額のみを返金します。返金は、取引の支払のために使われたのと同じ支払手段に入金されます。返金は日本円のみ行います。また返金額について、お客様の取引が提示された時点の日本円あるいは外貨の価値との変化を考慮した調整はいたしません。

10. 当社の知的所有権

お客様は、本サービスならびにすべてのその他当社の著作権・商標・サービスマーク・ロゴ・製品およびサービス名がもっぱら当社の所有であること（以下、「当社の知的財産」）に同意していただきます。また、当社の知的財産をいかなる方法によっても展示・使用・複製・修正しないことに同意していただきます。また、当社またはいかなる第３者の著作権・特許・商標・企業秘密またはその他知的所有権または肖像権・プライバシー権を侵害しないことに同意していただきます。

11. 保証の放棄

本サービスは、「現状で」かつ、いかなる保証なく提供されており、いずれの条件、表明、含意を含まず法律の規定はありません。当社、当社の子会社、従業員および当社サプライヤーは、特定の目的や非侵害のための所有権・商品性の適合性について、一切の黙示保証をしないものとします。

12. 損失補償

お客様は、お客様の本サービスの利用・本サービスへの接続・本利用規約に対する違反・他者の権利の侵害による、あるいはそれらに起因する、合理的な弁護士費用を含む第３者によるクレームまたは要求のすべてを補償し、当社、サービス会社、およびそれぞれの子会社、役員、エージェント、パートナーおよび従業員に何らの損害も与えないことに同意していただくことになります。

13. 賠償責任の制限

日本国内で生じた取引に起因するクレームを除き、いかなる場合も当社、サービス会社、あるいはそれぞれの子会社、役員、エージェント、パートナー、または従業員は、当社、支払パートナー、またはそれぞれの子会社、役員、エージェント、パートナーまたは従業員側の過失に起因する利益損失の損害賠償・営業権・使用・データまたはその他無形の損失（当社がかかる損害の可能性について知らされていたとしても）を含むがそれらに限定されるものではない一切の直接的・間接的・偶発的特別・結果的・懲罰的損害賠償金に関して責めを負うものではありません。

14. 苦情処理措置・紛争解決措置、紛争の解決および準拠法

a. 準拠法 　本利用客は、日本国内の法律に従って規定されるものとし、本サービスに関連して行われるあらゆる活動は、日本国内においてなされたものとみなされます。本サービスまたは利用規約に起因、あるいは関連する何らかの論争、紛争、あるいはクレームが生じた場合（以下、「クレーム」）、法典が法律の抵触を統制する場合を除き、日本国内の法律に準拠するものとします。

b. 当社との紛争 　お客様と当社の間で紛争が生じた場合、当社が目指すのは、お客様の懸念事項について学び対応することで、ご満足いただけない場合、紛争を迅速に解決するための中立的かつコスト効率の良い手段を提供することです。本サービスに関するお客様と当社間の紛争は、

c. 適用法
本約款は、日本国の法律に基づき解釈されるものとすること。

d. 専属的合意管轄
お客様と当社との間の本取引に関する訴訟については、東京地方裁判所を第一審の専属的合意管轄裁判所とすること。

15. 雑則

a. 完全なる合意 本利用規約は、お客様と当社間の完全合意事項を構成し、お客様の本サービスのご利用、お客様と当社間でそれ以前に合意のなされた一切の合意事項に優先するものとします。

b. 権利不放棄 当社が本利用規約に定める権利または規定を行使または実施しない場合にも、当社はかかる当該権利を放棄するものではありません。調停者または管轄裁判所により本利用規約の規定が無効であると判断された場合でも、両当事者は、調停者または管轄裁判所が、規定中に反映されているように本利用規約の意図にふさわしく有効な効果を与えるために努力するべきであること、また本利用規約のその他の条項はなお効力を有し存続するものとすることに同意します。

c. 同意書の変更 当社は、法で義務付けられている場合を除き、本利用規約をお客様に通知することなく適時変更することがあります。お客様は本利用規約の最新バージョンをこのウェブサイトでいつでもご覧いただくことができます。変更や修正内容に同意できないお客さまは、本サービスのご利用を終了させることができます。変更または修正の発効日を越えて本サービスをご利用の場合、お客様が変更または修正内容を承認されたものと見なされます。お客様は、本利用規約を変更しないこと、またお客様による本利用規約に変更を加えようとする試みは無効とすることに同意していただくことになります。

d. 言語本利用規約を含む本ウェブサイト上にある日本語テキストと英語テキストとの間に矛盾がある場合、日本語テキストが拘束力をもつこととします。

e. お客様は本人特定事項（お客様が個人の場合は住所、氏名及び生年月日。お客様が法人の場合は名称及び本店又は主たる事務所の所在地。）その他、お客様が当社に対して情報提供をした事項に変更がある場合には、遅滞なく、当社に対して通知してください。

16. セキュリティ

お客様のセキュリティは当社にとって非常に重要であり、当社は最新のセキュリティ施策を利用しながらお客様情報が安全であることを確かめるため努力しています。当社は、ご家族やお客様が信頼されている他の人々に送金する安全かつ便利な手段です。ですが、よく知らない人への送金については送金前に熟考いただくようお願いいたします。特に、話がうますぎる取引や申し出については警戒が必要です。不正のターゲットになってしまった、あるいはその可能性があると思われたら、ただちに当社（株式会社ジャパンレミットファイナンス）にご連絡ください。連絡先は以下のとおりです。

JPレミットのお申込み及びご利用に当たっては、次の点にご注意ください。

1．銀行等が行う為替取引ではありません。

・ JPレミットは、銀行等が行う為替取引ではありません。

・ JPレミットは、預金若しくは貯金又は定期積金等を受け入れるものではありません。

・ JPレミットは、預金保険法（昭和46 年法律第34 号）第53 条又は農水産業協同組合貯金保険法（昭和 48 年法律第53 号）第55 条に規定する保険金の支払の対象とはなりません。

・当社は、資金決済に関する法律（平成 21年法律第59

号。以下「資金決済法」といいます。）第 44条の規定に

基づき、株式会社三井住友銀行と　の間で履行保証金

保全契約を締結しております。

・JPレミットをご利用いただくお客様は、資金決済法に基

づく履行保全金制度によって当該資金が保護され、同法第 59条の規定に基づき、当該資金の還付を受ける権利を有します。

2．JPレミットについてご留意いただきたいその他の事項

・ JPレミットのご利用に当たっては、「利用規約」をよくお読みください。

・ JPレミットで取り扱う為替取引の額の上限（１為替取引額）は、 100 万円です。

・送金資金が、ご指定の受領者の口座へ入金されるまで、もしくは窓口払い出しまでの標準的な期間（標準履行期間）は一営業日です。仕向国がインドの場合は三営業日です。

・ JPレミットのご利用に当たってお客様が負担する手数料については、 JPレミット規約４．をご覧ください。

・異なる通貨間の換算レートは、当社が定めるレートによるものとします。

・ JPレミットへのご会員登録は、www.jpremit.com からもお申込みいただけます。

・会員登録後、住所等登録済個人情報が変更となった場合、速やかに弊社まで電話連絡もしくは郵送でのご連絡をお願いいたします。その際、新たに当社より本人確認資料の提供をお願いする場合があります。

・当社は、資金決済に関する法律に基づき金融 ADR措

・為替取引が外国通貨で表示された金額で行われる場合においては当該金額を本邦通貨に換算した金額及びその換算に用いた標準又はこれらの計算方法

① 円から USDへの為替レートの場合：

みずほ銀行の定めるレート（TTS）から、最大2.5％上乗せした為替レートを算出する。

② 円からUSD以外の当社取扱通貨への為替レートの場合：

みずほ銀行の定める円からUSDへの為替レート（TTS）とUSDから対象通貨への顧客向け銀行為替レート（ TTC）のクロスレートから、最大3%上乗せした為替レートを算出する。

※ 市場レートから、かけ離れたレートを提示することを防ぐために銀行レートを基準としている。

・契約期間は無限定とします。

・契約期間の中途での解約時の取扱い

：中途解約手数料は生じませんが、お支払いただいた送金手数料はお返しいたしかねます。お客様がお支払いした金額が弊社の送金用口座に残っている場合はお客様の指示に基づき残高を返還します。

・為替取引に係る日本からの送金資金の入金の方法

：銀行振込もしくは当社窓口でのお支払い

・送金用口座の受入上限額

： 100万円以下

・為替取引依頼後の当該為替取引に係る資金の状況を確認する方法

：お客様から預かった送金資金は、当社にお電話いただければ、会員登録いただいたお客様には Emailに送金履歴をご連絡申し上げます。

・窓口受取の場合の管理番号や PIN番号等の管理

：お客様にお伝えする、窓口で現金をお受け取りの際、必要となる管理番号や PIN番号等は、第三者に知られることのないよう厳重に管理願います。

E.　JP レミット利用規約（会員登録なしの場合）

本利用規約は、2012-3-31- から有効となり、 JP レミット（以下、「本サービス」という）へのお客様のアクセスおよびご利用における条件を規定するものです。本利用規約に束縛されることに同意されない場合は、本サービスをご利用なさらないでください。本サービスをご利用になると、本利用規約に同意したものとみなされます。

1. 本サービスの概要

本サービスをご利用いただくと、世界中に送金したり、送金を受け取ったりすることができます。

「仕向国」 は、受取人が本サービスを通しお金を受け取る国を指します。

「支払金額」 は、仕向国の法律に基づき課される税金等を除き受取人に支払われる金額のことです。

2. 本サービスを利用する

b. 本サービスは日本に居住するお客様のみ対象とします。

3. 本人確認等

a. 「犯罪による収益の移転防止に関する法律」（平成 19 年法律第22 号）及び「外国為替及び外国取引に関する法律」（昭和 24 年法律第228 号）

及び「内国税の適正な課税の確保を図るための国外送金等に係る調書の提出等に関する法律」（平成 9 年法律第110 号）に基づき、当社がお客様の本人確認若しくは本人確認済みの確認又は告知書の確認を終了しない限り、お客様は本サービスを利用することができません。

4. 当社への送金資金のご依頼

① 送金手数料　0 円から 10,000円

b. お客様のお支払方法 　当社窓口にて現金にて日本円をお支払いただきます。

c. 取扱通貨　当社の取扱う通貨は別表対象国の通貨もしくは米国ドル（USD ）です。

d. 為替レートの決定方法

① 円からUSD への為替レートの場合：

みずほ銀行の定めるレート（TTS）から、最大2.5％上乗せした為替レートを算出する。

② 円から USD以外当社取扱通貨への為替レートの場合：

5. 受取人の受領

a. 当社は、当社の国内銀行口座から仕向国国内の受取人の預金口座に資金に振り込みます。また、指定の銀行とその営業所での窓口払いも対応しております。

b. 当社が、お客様から現金を受領ししてから、受取人の国外の銀行口座に入金されるまで、もしくは指定の銀行とその営業所での窓口払い出しまでの期間を１営業日と見積もります。仕向国がインドの場合は３営業日と見積もります（休日の場合は同期間が変更となる可能性がございます）。

6. 制限事項

a. 概要　当社は、いつでもまた当社独自の裁量により、取引ごとあるいは統合ベースで、取引を拒否あるいは送金額を制限することがあります。当社は、いつでも、また適時、通知をもってあるいは通知なくサービス（またはその一部
